These Terms of Service ("Terms") govern your use of our website and Cardano ecosystem directory services ("Services") operated by Adastack ("we," "us," or "our").

By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these Terms, then you may not access the Services.

Description of Services

Adastack provides:

• A comprehensive directory of Cardano ecosystem projects, DApps, and tools
• Project discovery and search functionality
• User accounts for project submissions and management
• Premium features for enhanced project visibility
• Community-driven content and reviews
• Educational resources about the Cardano ecosystem

User Accounts

Account Creation

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must be at least 18 years old to create an account
• One person or entity may not maintain more than one account

Account Responsibilities

• You are responsible for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account
• You may not sell, transfer, or assign your account to another party
• We reserve the right to suspend or terminate accounts that violate these Terms

Content and Submissions

User-Generated Content

When you submit content to our platform, including project descriptions, reviews, or comments:

• You retain ownership of your intellectual property rights
• You grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute your content
• You represent that you have the right to submit the content and it doesn't infringe on third-party rights
• You are responsible for the accuracy and legality of your submissions

Content Enhancement and Research

To maintain directory quality and provide comprehensive information to our users, we may research and enhance submitted listings:

Our Purpose: We research and enhance listings to ensure consistent, high-quality information across the directory, help users discover your project through complete details, and maintain up-to-date, accurate ecosystem knowledge.

By submitting content, you grant us permission to enhance your listing using publicly available information while respecting your intellectual property rights and giving you full editorial control.

Content Standards

All content must:

• Be accurate, truthful, and not misleading
• Relate to legitimate Cardano ecosystem projects or services
• Not contain harmful, offensive, or inappropriate material
• Not infringe on copyrights, trademarks, or other intellectual property
• Not contain malware, viruses, or malicious code
• Not contain or link to malicious software, phishing attempts, scams, or harmful content
• Comply with all applicable laws and regulations

Enforcement: Listings found to contain malicious links, spam, fraudulent content, or other violations will be removed immediately without notice or refund. We reserve the right to ban users who repeatedly violate these standards.

Content Moderation

We have no obligation to monitor, review, or moderate user-generated content or listings. However, we reserve the right to remove, modify, or refuse any content that violates these Terms, infringes intellectual property rights, or is otherwise objectionable, at our sole discretion and without prior notice.

Third-Party Project Listings and Disclaimers

No Endorsement

Adastack does not operate, endorse, guarantee, or assume responsibility for any third-party projects, DApps, tools, or services listed in our directory. All listings are provided for informational and educational purposes only.

Information Disclaimer

All project information is provided by third parties, collected from public sources, or submitted by users. We make no representations or warranties regarding:

• Accuracy, completeness, or reliability of project information
• Security, functionality, safety, or legitimacy of listed projects
• Performance, success, or viability of any project or service
• Current operational status or future availability of any project
• Compliance of listed projects with applicable laws or regulations

User Responsibility

You are solely responsible for conducting your own research and due diligence before interacting with any listed project. We strongly recommend:

• Verifying project legitimacy and team credentials
• Reading available security audits and documentation
• Understanding all risks before connecting wallets
• Starting with small amounts to test functionality
• Never investing more than you can afford to lose

User Reviews and Ratings

User-generated reviews, ratings, and comments reflect individual opinions and experiences, not those of Adastack. We do not verify the accuracy of user reviews and are not responsible for user experiences with listed projects.

No Liability

Adastack is not liable for any losses, damages, or harm resulting from your interaction with third-party projects, including but not limited to:

• Financial losses from scams, rug pulls, or failed projects
• Security breaches, hacks, or exploits of listed projects
• Smart contract vulnerabilities or technical failures
• Project abandonment or team disappearance
• Regulatory actions or legal issues affecting projects

Reporting Concerns

If you believe a listing violates your rights, contains fraudulent information, or involves malicious activity, please contact us at contact@adastack.io. We will investigate all reports in good faith and take appropriate action, which may include removing or updating listings.

Prohibited Uses

You may not use our Services to:

• Violate any laws, regulations, or third-party rights
• Submit false, misleading, or fraudulent information
• Engage in spam, harassment, or abusive behavior
• Attempt to gain unauthorized access to our systems
• Interfere with the proper functioning of the Services
• Collect user information for unauthorized purposes
• Promote illegal activities or scams
• Impersonate others or misrepresent your identity
• Submit content that contains viruses or malicious code
• Use automated systems to access or scrape our content without permission

One-Time Payment Terms

Payment Structure

• Premium features (Pro and Sponsor tiers) require one-time payments
• Pro tier: $95 for 30-day featured placement period
• Sponsor tier: $195 for 45-day sponsorship period
• Payments are processed securely through Stripe
• No subscriptions or automatic renewals - Each payment covers a single placement period only (30 days for Pro, 45 days for Sponsor)

Refund Policy

7-Day Pre-Activation Refund Window

• Full refund available if requested within 7 days of payment AND listing has not been activated
• Once listing is activated, refund window closes immediately (service has been consumed)
• Request refunds via email to contact@adastack.io
• Refunds processed within 5-7 business days
• Subject to verification that listing wasn't activated

No Refunds After Activation

Once you activate your listing, your placement period begins and the service is considered delivered. No refunds are available regardless of when activation occurred or how many days were used. Placement time cannot be "returned" as the visibility has already been provided.

No Refunds for Terms Violations

• Listings removed for malicious links, spam, fraudulent content, or other Terms violations receive no refund
• Abuse of platform, multiple violations, or bad faith submissions = no refund
• This policy deters malicious actors and protects legitimate users

Discretionary Exceptions

Platform technical failures, extended downtime, or service not delivered as promised may qualify for refunds on a case-by-case basis. Unclear guidelines or first-time user misunderstandings will be reviewed individually. Contact support at contact@adastack.io with detailed explanation. All refund decisions are at our sole discretion.

Billing and Pricing

• You agree to pay all charges associated with your account
• Prices may change with 30 days advance notice for future payments
• You are responsible for any applicable taxes or fees
• You can access the Stripe Customer Portal through your dashboard to view payment history and receipts

Intellectual Property

Our Rights

The Adastack platform, including its design, functionality, and content, is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

Trademark Policy

"Adastack" and our logos are trademarks of Adastack. You may not use our trademarks without prior written consent. We respect the intellectual property rights of others and expect users to do the same.

Copyright and DMCA Policy

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe content on our platform infringes your copyright, please send a DMCA takedown notice to contact@adastack.io with the following information:

• Identification of the copyrighted work you claim has been infringed
• Identification of the material that is claimed to be infringing, including its location on our platform
• Your contact information (address, telephone number, and email address)
• A statement that you have a good faith belief that the disputed use is not authorized
• A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the copyright owner
• Your physical or electronic signature

Upon receiving a valid DMCA notice, we will investigate and may remove or disable access to the allegedly infringing content. We will also notify the user who posted the content.

Users who repeatedly infringe copyrights or other intellectual property rights will have their accounts terminated in accordance with our repeat infringer policy.

Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to the collection and use of your information as described in our Privacy Policy.

Analytics and Tracking

We use Plausible Analytics, a privacy-focused web analytics service that helps us understand how visitors use our site. Plausible Analytics:

• Does not use cookies or collect any personal data
• Processes data exclusively in the European Union on EU-owned infrastructure
• Provides only aggregated, anonymous statistics that cannot identify individual users
• Does not track users across websites or share data with third parties
• Is fully GDPR, CCPA, and PECR compliant by design

Disclaimers and Limitations

Service Availability

• Services are provided "as is" without warranties of any kind, either express or implied
• We do not guarantee continuous, uninterrupted, or error-free access
• We may modify, suspend, or discontinue Services at any time without notice
• We are not responsible for third-party content, services, or websites

Limitation of Liability

To the maximum extent permitted by law, Adastack and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, use, or other intangible losses
• Financial losses from cryptocurrency volatility or total loss of digital assets
• Damages resulting from your interaction with third-party projects or services
• Security breaches, hacks, scams, or fraudulent activities involving listed projects
• Smart contract vulnerabilities or technical failures of third-party protocols
• Unauthorized access to your account or compromise of your credentials

Third-Party Projects and Services

We are not responsible for the content, functionality, security, legality, or practices of third-party projects listed in our directory. Users assume all risks when interacting with listed projects and should conduct thorough research and due diligence before making any financial commitments or connecting wallets.

Indemnification

You agree to indemnify, defend, and hold harmless Adastack and its officers, directors, employees, contractors, and agents from and against any claims, damages, obligations, losses, liabilities, costs, debts, or expenses (including reasonable attorney's fees) arising from:

• Your use of and access to the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your interaction with any third-party projects or services listed on our platform
• Any content you submit or make available through the Services

Termination

By You

You may terminate your account at any time by contacting us at contact@adastack.io or using account deletion options in your settings.

By Us

We may suspend or terminate your access to the Services immediately, without prior notice or liability, for any reason, including but not limited to:

• Violation of these Terms
• Suspicious, fraudulent, or illegal activity
• Extended period of inactivity
• If required by law, legal process, or governmental request
• At our sole discretion to protect our users or Services

Effect of Termination

Upon termination, your right to use the Services will cease immediately. We may delete your account and content, though some information may be retained as required by law, for legitimate business purposes, or as described in our Privacy Policy. Any provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Dispute Resolution

Any disputes, claims, or controversies arising from these Terms or your use of the Services will be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify. You and Adastack agree to waive the right to a jury trial and class action proceedings.

The arbitration will be conducted under the rules of the American Arbitration Association (AAA) and governed by the Federal Arbitration Act. The arbitration will take place in Delaware, and the arbitrator's decision will be final and binding.

Changes to Terms

We reserve the right to modify or update these Terms at any time at our sole discretion. We will notify users of material changes by posting updated Terms on our website and updating the "Last updated" date at the top of this page. For significant changes, we may provide additional notice through email or prominent announcements on our platform. Your continued use of the Services after changes are posted constitutes acceptance of the new Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware and applicable United States federal law, without regard to conflict of law principles. Any legal action or proceeding relating to your access to or use of the Services shall be instituted exclusively in the federal or state courts located in Delaware. You agree to submit to the personal jurisdiction of such courts and waive any objection based on improper venue or inconvenient forum.

Severability

If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified or replaced with a valid, enforceable provision that most closely reflects the original intent and economic effect.
